VirtualDocs365 – Terms of Use

Welcome to VirtualDocs365 (“VirtualDocs365,” “Company,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our telemedicine platform, website, mobile applications, and related services (collectively, the “Platform” or “Services”).

By using the Platform, you agree to these Terms. If you do not agree, you must not use the Platform or Services.

1. Company Role & Disclaimer

  • • VirtualDocs365 is not a medical group, hospital, or insurance provider.
  • • VirtualDocs365 provides technology and administrative support for independent, licensed healthcare providers (“Providers”).
  • • Providers are solely responsible for the medical care delivered.
  • • VirtualDocs365 does not practice medicine, control Providers’ judgment, or guarantee any particular outcome.

2. Eligibility

  • • You must be at least 18 years old to create an account.
  • • If under 18, a parent or legal guardian must create and manage the account on your behalf.
  • • Users under 13 years old may not register or directly access the Platform.

3. Account Registration

  • • You agree to provide accurate, complete, and current information.
  • • You are responsible for maintaining the confidentiality of your login credentials.
  • • You must notify us immediately of any unauthorized use of your account.

4. License & Use

VirtualDocs365 grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform for personal, non-commercial healthcare purposes.

You agree not to:

  • • Copy, modify, reverse engineer, or distribute the Platform.
  • • Use the Platform for fraudulent, illegal, or abusive purposes.
  • • Upload viruses, malware, or attempt unauthorized access.

5. Telemedicine Services

  • • Services are available only in jurisdictions where Providers are licensed.
  • • Providers may decline care if your condition is outside their scope of practice.
  • • Telemedicine may have limitations compared to in-person care.
  • • In case of an emergency, call 911 immediately.

6. Fees & Payment

  • • Fees will be disclosed prior to scheduling or receiving Services.
  • • You are responsible for all charges incurred, including non-covered insurance amounts.
  • • Payments are processed through secure third-party vendors.

7. Insurance & Benefits

  • • VirtualDocs365 is not an insurance company and does not guarantee insurance coverage.
  • • It is your responsibility to confirm whether your plan covers telemedicine services.

8. Privacy & Security

  • • VirtualDocs365 complies with the Health Insurance Portability and Accountability Act (HIPAA).
  • • Please review our Privacy Policy for details on how we handle protected health information.

9. User Responsibilities

You agree:

  • • To provide accurate medical history and information.
  • • Not to misrepresent your identity.
  • • Not to record or distribute sessions without permission.
  • • Not to misuse prescriptions or medications.

10. Intellectual Property

  • • All content, trademarks, logos, and software on the Platform are the property of VirtualDocs365 or its licensors.
  • • You receive no ownership rights through use of the Platform.
  • • Any suggestions, feedback, or ideas you provide may be used by VirtualDocs365 royalty-free and without restriction.

11. Prohibited Conduct

You may not use the Platform to:

  • • Harass, threaten, or exploit others.
  • • Engage in spamming, phishing, or unauthorized advertising.
  • • Collect or harvest data without consent.
  • • Attempt to disrupt or impair the Platform’s functionality.

12. Third-Party Links & Services

  • • The Platform may contain links to third-party websites or services.
  • • VirtualDocs365 is not responsible for third-party content, accuracy, or practices.
  • • Use of third-party resources is at your own risk.

13. Termination

  • • VirtualDocs365 may suspend or terminate your account at any time, without liability, for violation of these Terms or misuse of Services.
  • • Upon termination, provisions regarding disclaimers, limitations of liability, indemnification, and intellectual property will continue to apply.

14. Disclaimers

  • • Services are provided on an “as is” and “as available” basis.
  • • We make no warranties regarding availability, accuracy, or suitability of Services.
  • • We do not guarantee uninterrupted or error-free access.

15. Limitation of Liability

  • • To the fullest extent permitted by law, VirtualDocs365 is not liable for any direct, indirect, incidental, consequential, or punitive damages arising from use of the Platform or Services.
  • • Our total liability, if any, is limited to the greater of $100 or the total fees paid by you in the past 12 months.

16. Indemnification

You agree to indemnify, defend, and hold harmless VirtualDocs365, its affiliates, officers, directors, employees, contractors, and Providers from any claims, damages, liabilities, or expenses arising from:

  • • Your use of the Platform,
  • • Your violation of these Terms, or
  • • Your interactions with Providers.

17. Governing Law & Dispute Resolution

  • • These Terms are governed by the laws of the State of Alabama, without regard to conflicts of law.
  • • Any disputes will be resolved through binding arbitration under the rules of the American Arbitration Association (AAA).
  • • You waive any right to trial by jury or participation in a class action.

18. Assignment

  • • VirtualDocs365 may assign these Terms to an affiliate or successor without restriction.
  • • You may not assign your rights or obligations without our prior written consent.

19. Changes to Terms

  • • VirtualDocs365 reserves the right to modify these Terms of Use at any time.
  • • Changes will be effective immediately upon posting to our website.
  • • Continued use of the Platform constitutes acceptance of updated terms.
  • • Material changes may be notified via email or prominent website notice.

20. Severability & Entire Agreement

  • • If any provision is found invalid, the remaining Terms remain in effect.
  • • These Terms, together with our Privacy Policy, constitute the entire agreement between you and VirtualDocs365.

21. Electronic Documents

You agree that these Terms and any notices or communications may be provided electronically and are enforceable as a signed, written document.
